Staffing Agency Terms of Service

Effective October 6, 2026

These Staffing Agency Terms of Service (the "Terms") govern the use of Staffing Agency Accounts on the Worksome Platform. These Terms replace and supersede the Staffing Agency Terms of Service effective January 1, 2023. These Terms apply to all new Staffing Agency Accounts and, on notice to the relevant Staffing Agency, to all existing Staffing Agency Accounts from the effective date stated in that notice.

How These Terms Work

These Terms govern Staffing Agency Accounts on the Worksome online platform (the "Platform"), operated by Worksome ApS, a company registered in Denmark under CVR no. 37990485, with its registered office at Dampfærgevej 9, 2100 Copenhagen Ø, Denmark ("Worksome", "we" or "us"). They apply to any staffing agency that opens and operates an account on the Platform (a "Staffing Agency", "you" or "your").

A "Company" is a business that uses the Platform to engage or pay for staffing agency services, and a "Worker" is an individual recruited, supplied or managed by a Staffing Agency. These Terms cover two models: the Referral Model and the Managed Model.

A Staffing Agency Account may be opened only following an invitation from a Company. Once your account is open, you may add and manage Workers through the Platform and must keep your account, payment and Worker information accurate and up to date.

Referral Model

Under the referral model (the "Referral Model"), you introduce or refer a Worker to a Company. Where payment is processed through the Platform, Worksome pays your agreed fee (the "Agency Fee") to you. Where the Company has selected external payment, the Company pays you directly and Worksome does not process that payment.

The applicable Worker engagement may be between the Company and the Worker or, where Worksome is the contracting party or provides employer-of-record services, may include Worksome as a party. Worksome facilitates payment of referred Workers through the Platform, where payment is processed through the Platform.

Worksome's worker classification tool ("Classify") is not available to Staffing Agencies. Where Classify is used in the Referral Model, it is completed by the Company and the Worker. Classify is not available in the Managed Model.

The applicable terms for the Staffing Agency's services are set out in the relevant agreement. Depending on the arrangement, that agreement may be between the Company and the Staffing Agency or, where Worksome is configured as the contracting party, between Worksome and the Staffing Agency. Worksome may also be a party to or named in a Worker contract where the applicable arrangement requires it.

Managed Model

Under the managed model (the "Managed Model"), you operate the Worker relationship. Where payment is processed through the Platform, Worksome pays you a single amount calculated by reference to the agreed rate and the time worked. Where the Company has selected external payment, the Company pays you directly and Worksome does not process that payment.

You are solely responsible for the engagement and administration of each Worker, including classification, recruitment and hiring, contracting directly with the Worker, paying the Worker and administering any related payroll, withholding, tax and benefits obligations, day-to-day management, supervision and direction of the Worker, and compliance with all applicable laws.

You contract directly with the Worker, unless the applicable arrangement expressly provides otherwise. Where Worksome is configured as the contracting party for a Managed Model engagement, the agreement generated through the Platform may be between Worksome and the Staffing Agency, and Worksome is a party to that agreement. Worksome does not classify, supervise, direct or manage any Worker. Its role is otherwise as set out in the applicable agreement and includes providing the Platform and, where selected, facilitating payment.

Payment

Where payment is processed through the Platform, Worksome pays you the Agency Fee in the Referral Model. In the Managed Model, Worksome pays you the single amount calculated by reference to the agreed rate and the time worked, and you are responsible for paying the Worker. Where the Company has selected external payment, the Company pays you directly and Worksome does not process payment to you.

Where payment is processed through the Platform, Worksome is under no obligation to make any payment until it has received cleared funds from the Company, unless Worksome has agreed an early-payment or factoring arrangement. Worksome acts as a payment facilitator only and does not guarantee, underwrite or assume responsibility for amounts owed by any Company.

Your Obligations

You warrant that you have authority to enter into and perform these Terms and any contract with a Company or Worker; that you hold and will maintain all licenses, registrations and authorizations required to supply your services and engage your Workers; that, in the Managed Model, you have a valid written contract with each Worker and comply with all applicable classification, employment, tax, immigration, right-to-work and payroll laws; that the information you provide is accurate and not misleading; and that you will not use the Platform for any unlawful purpose.

You shall indemnify and hold harmless Worksome and its affiliates against all losses, liabilities, costs, claims, damages and expenses arising out of your engagement, classification, contracting, management or payment of any Worker, any breach of these Terms or of any contract with a Company or Worker, or any claim by a Worker, Company or authority relating to your services.

You shall maintain accurate records relating to your Workers, engagements and payments and, on reasonable request, provide Worksome with such records, information and cooperation as it reasonably requires to verify compliance or respond to any regulatory, tax or legal inquiry.

General

Nothing in these Terms creates any employment, agency, partnership or joint venture relationship between Worksome and the Staffing Agency or any Worker, except as expressly set out in an applicable Worker contract or employer-of-record arrangement. Except in those arrangements, Worksome is not the employer, engager or agent of any Worker.

Worksome may update these Terms from time to time. Updated Terms apply to new Staffing Agency Accounts on publication and to existing Staffing Agency Accounts on notice.
